Terms of Service - Umbrella Roofing

These Terms of Service (“Terms”) set forth the conditions under which you (“you,” “your,” or “Customer”) may access the website located at https://www.umbrellaroofga.com (the “Site”) or contract with Umbrella Roofing, LLC (“Umbrella Roofing,” “we,” “us,” or “our”) for roofing-related work. By visiting the Site, requesting an estimate, or authorizing any work, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with any part of these Terms, do not use the Site or engage our team for work.

1. Eligibility & Authority

You represent that you are at least 18 years old and legally able to enter into binding contracts. If you accept these Terms on behalf of a business or other legal entity, you confirm that you have authority to bind that entity.

2. Scope of Work

A written proposal or work order (collectively, “Order”) describes the specific roofing labor, materials, and timeline we will provide. Only items set out in an Order are included. Any adjustment, whether due to site conditions, design changes, code updates, or other factors, must be documented in a change order signed by both parties.

3. Quotes & Pricing

  • Estimates are free and remain valid for 30 days unless stated otherwise.
  • Prices in an Order are exclusive of taxes, fees, or permit costs unless the document says otherwise.
  • You authorize Umbrella Roofing to collect any local or state permit fees on your behalf if required.

4. Deposits & Payment Terms

  1. Deposit. A deposit noted in the Order is due before materials are ordered or work is scheduled.
  2. Progress Payments. For projects spanning multiple phases, we may invoice at milestones (e.g., material delivery or specified completion percentages).
  3. Final Payment. The balance is due upon substantial completion or as otherwise provided in the Order.
  4. Late Balances. Past-due amounts accrue interest at 1.5 % per month (or the maximum lawful rate, if lower). You agree to cover reasonable collection costs, including attorney fees.

5. Customer Responsibilities

  • Provide safe, unobstructed access to the property.
  • Remove or protect personal items inside and outside the work area.
  • Secure pets and warn occupants of construction activity.
  • Verify that homeowner association approvals, if any, are in place.

6. Workmanship & Limited Warranty

Umbrella Roofing offers a limited workmanship warranty as described in the warranty certificate delivered at project close-out. Manufacturer warranties for shingles, membrane, coatings, or accessories apply per their written terms. Warranty claims must be submitted in writing to info@umbrellaroofga.com within the stated coverage period.

7. Disclaimers

  • Roof life and performance depend on factors outside our control (e.g., weather events, structural movement, improper maintenance).
  • Except for the limited warranties expressly provided, all other warranties, express or implied, are disclaimed to the fullest extent allowed by law.

8. Limitation of Liability

To the maximum extent permitted by Georgia law, Umbrella Roofing will not be liable for indirect, incidental, special, or consequential damages of any kind. Our aggregate liability for any claim relating to the Site or work performed will not exceed the amount paid under the specific Order giving rise to the claim.

9. Indemnification

You agree to indemnify and hold Umbrella Roofing, its officers, employees, and subcontractors harmless from any third-party claim, loss, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms, your negligent acts, or your misuse of the Site.

10. Intellectual Property

The Site, its text, graphics, and layout belong to Umbrella Roofing or its licensors and are protected by U.S. copyright, trademark, and other laws. No right, title, or interest is transferred to you except a limited, revocable license to view the Site for personal or internal business purposes.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.

12. Suspension or Termination

We may suspend or terminate Site access or any Order if you (a) fail to pay amounts due, (b) breach these Terms, or (c) engage in conduct that, in our reasonable opinion, harms our personnel, property, or reputation.

13. Governing Law & Dispute Resolution

These Terms and any dispute arising hereunder are governed by the laws of the State of Georgia, without regard to its conflict of law principles. The parties agree to seek resolution through binding arbitration in Gwinnett County, Georgia, under the Construction Industry Arbitration Rules of the American Arbitration Association, except that either party may pursue equitable relief in a court of competent jurisdiction.

14. Updates to These Terms

We may revise these Terms from time to time. Updated versions will be posted on this page with a new “Last updated” date. Continued use of the Site or scheduling of work after those changes signifies acceptance of the revised Terms.
